Talent Nation Terms of Use
Effective Date: 21 October 2026
1. Acceptance of These Terms
These Terms of Use (“Terms”) govern access to and use of the Talent Nation platform (the “Platform”), operated by Talent Nation (“Talent Nation,” “we,” “us”), a company incorporated in Nigeria with registration number [CAC REGISTRATION NUMBER]. By creating an account or otherwise using the Platform, you agree to be bound by these Terms. If you accept these Terms on behalf of an organisation, you confirm that you have authority to bind that organisation, and “you” refers to that organisation as well as to you personally.
These Terms incorporate the Talent Nation Privacy Policy, which explains how we handle personal data. Where you enter into a Mission Contract (as a Client) or an Offer Letter and the standing Non-Disclosure Agreement (as a Talent member), those documents govern the engagement they cover; these Terms govern your use of the Platform generally and apply in addition to them. If there is a conflict on a matter specific to an engagement, the Mission Contract or Offer Letter prevails.
2. Eligibility and Accounts
- You must be at least 18 years old to create an account or use the Platform.
- You must provide accurate, current, and complete information when registering, and keep it up to date.
- You are responsible for keeping your account credentials confidential and for all activity under your account.
- You must tell us promptly of any unauthorised use of your account.
- Talent Nation may suspend, or decline to create, an account where information provided is inaccurate, where an applicant does not pass the vetting pipeline, or as otherwise permitted under Section 13.
3. Description of the Platform
Talent Nation operates a platform that connects Client organisations seeking project work with vetted Talent, located both in Nigeria and internationally, and provides tools for managing the resulting engagement, including discovery, scoping, contracting, task and deliverable tracking, communication, invoicing, and payment administration.
The work delivered under a Mission is performed by Talent as independent contractors under individually signed Offer Letters, not as employees or agents of Talent Nation. Talent Nation is, however, a direct contracting party on the commercial and payment side: a Client's Mission Contract is with Talent Nation, a Talent member's Offer Letter is with Talent Nation, and payment flows through Talent Nation as described in Section 6, not directly between Client and Talent. Talent Nation's role in delivering a Mission is limited to vetting, staffing, and delivery oversight, and it does not guarantee the outcome, quality, or timeliness of any Talent's work beyond those stated processes.
4. Client Use of the Platform
- A Client may book a discovery call, create an account, and complete organisation setup as described in the Platform's onboarding flow.
- A Client may create a Mission by providing a Mission name, description, and supporting files or links. Talent Nation's AI Mission Scoping tool then generates an initial draft scope from that information.
- The Client, together with the assigned Lead Product Manager and Lead Engineer where applicable, has full discretion to edit, rewrite, or discard the AI-generated draft before approving a final scope. No draft scope is binding until the Client has reviewed and approved it.
- A Mission scope becomes final only once the Client approves and locks it. A locked scope cannot be changed outside the Platform's review process.
- Commercial terms for a Mission are set out in the Mission Contract signed for that Mission, not in these Terms.
- A Client is responsible for the lawfulness, accuracy, and completeness of any content, files, or personal data it uploads, and for having the rights and permissions needed to share that content with Talent Nation and assigned Talent. Where a Client uploads personal data, Talent Nation processes it as the Client's data processor, as described in the Privacy Policy.
5. Talent Use of the Platform
An individual applying to join the Talent network progresses through Talent Nation's vetting pipeline (profile review, skill self-assessment, quiz, practical project, interview, and legal and Non-Disclosure Agreement stages), as described on the Platform. Passing the pipeline does not itself create an engagement or a right to be assigned to a Mission; it makes the applicant eligible to receive Mission offers.
No automated or AI-assisted tool decides, ranks, or influences which Talent member receives a Mission offer, a Talent member's compensation or badge tier, or the outcome of any stage of the vetting pipeline. These decisions are made by Talent Nation's Admin, Product Management, or QA personnel, or by the Client, as applicable. Talent Nation's only AI-assisted tool is Mission Scoping, described in Section 4, which does not affect Talent selection or engagement terms. Before any automated or AI-assisted tool is used to affect a Talent-facing outcome, this Section and the Privacy Policy will be updated.
Where a Talent member accepts a Mission offer and signs the resulting Offer Letter, the terms of that engagement, including scope of services, compensation, duration, and intellectual property in the work product, are governed by that Offer Letter and by the standing Non-Disclosure Agreement, not by these Terms.
6. Fees and Payments
A Client's Mission fee is payable to Talent Nation, not directly to any Talent member, under the applicable Mission Contract. Talent Nation determines and administers the allocation of the funds it receives between (a) compensation payable to assigned Talent, as set out in each Talent member's Offer Letter, and (b) Talent Nation's own fees, unless the Mission Contract or Offer Letter states otherwise. A Client's payment obligation is discharged in full once it pays Talent Nation in accordance with its Mission Contract, however Talent Nation then allocates those funds.
Talent Nation pays each Talent member's compensation on the schedule in their Offer Letter, whether or not it has yet received the corresponding payment from the Client. Talent Nation does not pass the risk of Client non-payment on to Talent.
Talent Nation does not currently use a third-party payment processor; payments are made by direct bank transfer. All amounts are exclusive of applicable taxes unless stated otherwise, and each party is responsible for its own tax obligations arising from amounts paid or received.
7. Intellectual Property
7.1 The Platform
Talent Nation owns or licenses all rights in the Platform itself, including its software, design, trade marks, and the content Talent Nation provides (excluding content Clients and Talent upload). You may not copy, modify, reverse-engineer, or create derivative works of the Platform except as the Platform's own functionality permits.
7.2 Mission Work Product
Ownership of work product created in the course of a Mission is governed by the Offer Letter signed by the Talent member who created it and, where applicable, the Mission Contract signed by the Client, not by these Terms.
7.3 Content You Upload
You keep ownership of content you upload to the Platform. By uploading content, you grant Talent Nation a licence to host, process, and display it as necessary to operate the Platform, and to disclose it to other users as the Platform's functionality requires.
8. Confidentiality
Information shared within a Mission workspace is confidential to that Mission's Client, assigned Talent, and relevant Admin personnel, and must not be disclosed outside the Platform except as the Mission requires. A Talent member's specific confidentiality obligations are set out in the standing Non-Disclosure Agreement, which survives these Terms and any particular engagement.
9. Acceptable Use
You agree not to:
- provide false or misleading information at any stage, including during the vetting pipeline or discovery-call booking;
- circumvent the Platform to contract directly with a Client or Talent member introduced through it, in a way that avoids Talent Nation's fees, within 12 months of that introduction or of the end of that party's relationship with Talent Nation, whichever is later;
- upload unlawful, infringing, or harmful content, or content you do not have the right to share;
- interfere with or disrupt the Platform, or attempt to gain unauthorised access to it or to another user's account; or
- use the Platform's community or communication features to harass, discriminate against, or abuse another user.
Talent Nation may investigate suspected breaches and take action under Section 13.
10. Third-Party Services
The Platform runs on Google Cloud and integrates with or links to other third-party services, for example GitHub for portfolio verification and video-conferencing tools for scheduled meetings. Your use of those services is governed by their own terms and privacy policies. Talent Nation is not responsible for the availability, content, or practices of third-party services.
11. Disclaimers and Limitation of Liability
The Platform is provided “as is” and “as available.” To the maximum extent permitted by law, Talent Nation disclaims all warranties, express or implied, regarding the Platform, including as to the quality, timeliness, or outcome of any Talent's work on a Mission, beyond Talent Nation's stated vetting and delivery-oversight processes.
Talent Nation's total liability to you arising out of or relating to your use of the Platform will not exceed the total fees paid to Talent Nation by, or on behalf of, the affected party in the 12 months immediately before the event giving rise to the claim. This limit does not apply to liability for death or personal injury caused by negligence, fraud, wilful misconduct, breach of confidentiality, or any other liability that cannot be limited under applicable law.
12. Indemnification
You agree to indemnify Talent Nation against claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your breach of applicable law, or content you upload to the Platform, except to the extent caused by Talent Nation's own breach or negligence.
13. Termination and Suspension
- You may close your account at any time, after first resolving any active Mission, pending payment, or obligation under a signed agreement.
- Talent Nation may suspend or terminate an account for breach of these Terms, suspected fraud or misconduct, or where the law requires, with notice and the reason where reasonably practicable.
- Ending Platform access does not, by itself, end a Mission Contract or Offer Letter already in force; those documents govern their own termination.
- Provisions that by their nature should survive termination, including Intellectual Property, Confidentiality, Disclaimers and Limitation of Liability, Indemnification, and Dispute Resolution, survive.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria.
Any dispute arising out of or in connection with these Terms, including any question about their existence, validity, or termination, will be referred to and finally resolved by arbitration administered by the Lagos Court of Arbitration under its Rules, seated in Lagos, Nigeria, conducted in English, in accordance with the Arbitration and Mediation Act 2023. Before starting arbitration, the parties will try in good faith to resolve the dispute by discussion for at least 21 days.
15. Changes to These Terms
Talent Nation may update these Terms from time to time, including to reflect changes to the Platform, such as the introduction of new automated or AI-assisted tools, or changes in law or business practice. We will notify you of a material change through the Platform or by email at least 14 days before it takes effect, unless the law requires it to take effect sooner. If you continue to use the Platform after the change takes effect, you accept the updated Terms. If you do not agree, you may close your account under Section 13.
16. General Provisions
- Entire agreement: these Terms, together with the Privacy Policy and any Mission Contract or Offer Letter you sign, are the entire agreement between you and Talent Nation regarding your use of the Platform.
- Severability: if any provision of these Terms is found unenforceable, the remaining provisions continue in effect.
- Assignment: you may not assign your rights under these Terms without Talent Nation's consent. Talent Nation may assign these Terms in connection with a merger, acquisition, or sale of assets.
- No waiver: Talent Nation's failure to enforce a provision is not a waiver of its right to do so later.
- Force majeure: Talent Nation is not liable for delay or failure to perform caused by circumstances beyond its reasonable control.
- Relationship of the parties: nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between you and Talent Nation.
